The AI Oversight Audit
A free tool for private company board directors. Free to access -- just subscribe with your email. No charge, ever.
How It Works
Answer four questions about your board’s current AI oversight posture. Paste the prompt below into Claude (free at claude.ai or on the Claude mobile app). You’ll have a personalized gap analysis in about thirty seconds.
No documents to upload. No lengthy forms. Just four answers and Claude does the rest.
The Four Questions
Before you open Claude, have these ready:
1. What industry is your company in?
2. Does your board have a committee specifically assigned to AI or technology oversight -- yes, no, or unclear?
3. In the last 12 months, how often has AI appeared as a substantive board agenda item -- never, once or twice, or regularly?
4. Can a director on your board name the highest-risk AI system in the company right now -- yes, no, or not sure?
The Prompt
Copy everything below and paste it into a new Claude conversation. Fill in your four answers where indicated.
I am a director on company board. Help me assess our AI oversight posture against the Caremark standard.
Here is our situation:
- Industry: [your answer]
- Is the Company Public or Private: [public / private]
- AI oversight committee: [yes / no / unclear]
- AI as a substantive board agenda item in the last 12 months: [never / once or twice / regularly]
- Can a director name our highest-risk AI system: [yes / no / not sure]
Based on this, please give me:
1. A plain-English assessment of where we stand against the Caremark duty of oversight as it applies to AI
2. Which of these Five Moves we have not yet made: (1) Charter language assigned, (2) Reporting cadence established,
(3) Expertise gap addressed, (4) Board education documented, (5) Minute book audited
3. Two specific sentences I could propose adding to our next set of board minutes to begin building a defensible record
4. One question I should ask management at our next meeting
Be direct. Flag the gaps clearly. Do not soften it.
What You’ll Receive
A gap analysis written specifically for your company’s sector and oversight posture. The minute language alone -- two sentences you could table at your next meeting -- is worth the thirty seconds it takes.
If what comes back feels uncomfortable, that is the point. The directors who are best positioned when scrutiny arrives will not be the ones who talked about AI the most. They will be the ones whose records already show they treated it as a board-level issue.
Go Deeper
This tool surfaces the gaps. The Elemental AI Governance Navigator is designed to close them -- with a structured assessment across the domains that Caremark actually asks about.
If you haven’t read Issue 46 yet, that’s the context behind everything this tool is built on.
And if you haven’t taken the 8-minute AI Governance Maturity Index, that’s the calibration step before the Navigator.
